Introduction

Welcome to Lynguist. These Terms & Conditions govern your access to and use of the Lynguist translation management platform (the "Service") operated by Vixen Tech s.r.o. ("we", "us", or "our"). Please read these terms carefully before using the Service.

Acceptance of Terms

By accessing or using Lynguist, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, you may not use the Service. You must be at least 16 years of age to use this Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

Service Description

Lynguist is a translation management platform designed for developers and teams working with multilingual applications. The Service enables you to manage, edit, and synchronize translation files across your projects. The Service integrates with third-party machine translation providers and offers features such as glossary management, translation memory, and team collaboration tools.

User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use of your account
Ensuring that your account information remains accurate and up-to-date

User Content

You retain ownership of all translation content, terms, and other data you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to store, display, and process your content solely for the purpose of providing the Service. We will not use your User Content for any other purpose without your consent. You are responsible for ensuring that you have the necessary rights to upload and use any User Content.

Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws
Upload, transmit, or store any content that infringes on intellectual property rights
Attempt to gain unauthorized access to any systems or networks
Interfere with or disrupt the integrity or performance of the Service
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use automated scripts to collect information from or interact with the Service without our permission

Intellectual Property

The Service, including its original content, features, and functionality, is owned by Lynguist and is protected by international copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal or business purposes in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of our Service without our explicit permission.

Subscriptions

Some features of the Service are available only through paid subscription plans. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You can view available plans and their features on our pricing page. We reserve the right to change subscription prices with reasonable notice.

Payments

Paid subscriptions are billed in advance on a monthly or annual basis. All displayed prices include VAT where applicable. You agree to provide current, complete, and accurate billing information. Payment processing is handled by Stripe, and your use of their services is subject to their terms.

Refunds and Cancellations

Due to the digital nature of our Service, we generally do not offer refunds for subscription fees already paid, except where required by applicable law. If you cancel your subscription, you will continue to have access to paid features until the end of your current billing period. You may cancel your subscription at any time through your account settings.

Third-Party Services

The Service integrates with third-party services such as DeepL for machine translations, and authentication providers. Your use of these third-party services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or policies of third-party services. API access and integrations are provided subject to rate limits and fair usage policies.

Data Protection

Your use of the Service is also governed by our Privacy Policy. By using Lynguist, you consent to the collection and use of information as described in our Privacy Policy. We process personal data in accordance with applicable data protection laws, including GDPR where applicable.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. MACHINE TRANSLATIONS ARE PROVIDED FOR CONVENIENCE AND MAY NOT BE FULLY ACCURATE.

Limitation of Liability

IN NO EVENT SHALL LYNGUIST BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify, defend, and hold harmless Lynguist and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party rights.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately. You may export your translation data before termination. We will retain your data for 30 days after account deletion, after which it will be permanently removed.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Slovakia, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms shall be resolved in the competent courts of Slovakia.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
